Terms of Service

1. Acceptance of Terms

By accessing or using the ReasonEMR platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

ReasonEMR provides a cloud-based electronic health record (EHR) system designed for mental health and behavioral health providers. The Service includes clinical documentation, treatment planning, scheduling, telehealth, billing, patient portal, and related features.

3. Account Responsibilities

• You are responsible for maintaining the confidentiality of your login credentials
• You must notify us immediately of any unauthorized access to your account
• You are responsible for all activities that occur under your account
• You must ensure all users within your practice are properly trained and authorized
• You must maintain accurate and current account information

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service in violation of any applicable law or regulation, including HIPAA
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Transmit any malicious code, viruses, or harmful content
• Share login credentials between unauthorized individuals

5. Data Ownership

You retain ownership of all data you enter into the Service, including patient records and clinical documentation. ReasonEMR does not claim ownership of your data. We process your data solely to provide the Service and as described in our Privacy Policy and BAA.

6. Service Availability

We strive to maintain 99.9% uptime for the Service. Scheduled maintenance windows will be communicated in advance. We are not liable for temporary unavailability due to factors beyond our control, including internet outages, force majeure events, or third-party service failures.

7. Fees & Payment

Subscription fees are billed monthly or annually as agreed upon during registration. Fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' advance notice. Failure to pay may result in suspension of access to the Service.

8. Termination

Either party may terminate this agreement with 30 days' written notice. Upon termination, we will provide you with a complete export of your data in a standard format. Data will be securely destroyed from our systems within 90 days of termination, unless retention is required by law.

9. Limitation of Liability

To the maximum extent permitted by law, ReasonEMR's total liability for any claims arising from your use of the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim. ReasonEMR shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. HIPAA Compliance

ReasonEMR operates as a Business Associate under HIPAA. Use of the Service requires execution of a Business Associate Agreement (BAA). Both parties agree to comply with all applicable provisions of HIPAA and the HITECH Act.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Travis County, Texas.
